The decision was condemned on Friday by the Connecticut State Medical Society, which expressed concern that the takeover harms competition and leaves health care consumers little protection.

In July, UnitedHealth and Health Net announced the deal, worth more than $500 million. United has confirmed that the deal does not include the nearly 1,000 workers Health Net has in Connecticut, with the vast majority in Shelton, but has not discussed potential job losses. United employs nearly 4,000 in the state.

One of the issues the medical society raised Friday was that United is buying the right, but not the obligation, to re-enroll Health Net’s customers in its UnitedHealthcare insurance coverage.

“United has snuck in the back door in an unprecedented transaction by purchasing only the renewal rights of Health Net customers. We hope they will offer insurance to all of Health Net’s current policyholders,” said Matthew C. Katz, executive vice president of CSMS. “Time will tell whether the company uses its muscle to continue to raise premiums. Now, they won’t need any approval to do so. By purchasing the renewal rights to contracts, they can double their rates and cherry-pick commercial contracts, and there’s not a thing state regulators can do about it. The Department of Insurance has made it clear by this decision that they value insurance companies over patients and physicians.”

“We appreciate the Connecticut Department of Insurance approving our application to acquire Health Net of Connecticut, confirming that the transaction meets all state regulatory requirements,” Daryl Richards, UnitedHealthcare’s public relations vice president in Hartford, said in an e-mail. “If fully approved by the other states, we will work to ensure a smooth transition process for members, physicians, hospitals, and other health care professionals. We look forward to advancing the health and well-being of Health Net’s members through affordable, quality health care options.”

The Insurance Department will require the companies to file regular updates for the next two years. Health Net is to maintain accounts with its employees through 2010 under the terms of the acquisition, which will close later in 2010.

UnitedHealthcare, a UnitedHealth Group company, and Health Net, Inc. today announced that UnitedHealthcare has completed the previously announced acquisition of Health Net of the Northeast’s licensed subsidiaries and has obtained rights to renew Health Net’s membership in Connecticut, New York and New Jersey. The transaction has received all regulatory approvals required for completion     “UnitedHealthcare has a long, successful history of providing people in the Northeast with affordable, quality health care options, and we look forward to serving the health and well-being needs of Health Net’s Northeast members as they renew with UnitedHealthcare,” said Jeff Alter, UnitedHealthcare chief executive officer, Northeast Region. “With UnitedHealthcare, Health Net’s members in the Northeast will gain access to one of the largest local and national care provider networks, robust clinical programs, proactive care management and wellness tools, and technology that simplifies and enhances the health care experience.”

“We believe UnitedHealthcare is the best option for our customers in the Northeast,” said Paul Lambdin, president of Health Net of the Northeast. “We look forward to working with UnitedHealthcare on a seamless renewal process that we believe our customers will appreciate. We will continue to maintain the high quality of service our customers have come to expect from us.”

As Health Net’s commercial customers in the Northeast reach renewal dates, UnitedHealthcare will work to enroll them in a comparable Oxford or UnitedHealthcare plan. Until members are enrolled in a replacement plan, their current Health Net benefits remain in effect under their existing Health Net contracts. There will be no interruption to coverage or payments during this transition period.

Health Net will continue to administer all of the Health Net plans—commercial, Medicare and Medicaid— in the Northeast under administrative services agreements with UnitedHealthcare until members transition to UnitedHealthcare plans. For Health Net’s Medicare Advantage members in Connecticut and its Prescription Drug Plan members in New York, there will be no changes to the 2010 plans. UnitedHealthcare expects to file 2011 Medicare plan benefits with the Centers for Medicare and Medicaid Services  during 2010 that will be made public after receiving CMS approval, beginning October 1, 2010. Subject to approval by CMS, UnitedHealthcare will begin operating these Medicare plans on January 1, 2011.   Approval has also been requested from the New Jersey Department of Human Services to transition Health Net’s New Jersey Medicaid business. Upon receiving approval, Medicaid members currently enrolled in Health Net of New Jersey’s Healthy Options plan will be transitioned to UnitedHealthcare’s AmeriChoice plan, unless they choose another participating health care plan. For Health Net’s Medicaid members in New Jersey, there are no expected changes until the middle of 2010.

Health Net Inc. has reshuffled responsibilities of two executives in light of UnitedHealthcare’s recent acquisition of the company’s Northeast U.S. licenses.

Health Net said it named Linda Tiano as president of regional health plans for Health Net of the Northeast. She has served as senior vice president, general counsel and secretary since January 2007.

To replace Tiano, the company named Angelee Bouchard as senior vice president, general counsel and corporate secretary, effective immediately.

In the newly created position, Tiano will relocate to Health Net’s Shelton, Conn. office and will lead the Northeast operations under an agreement with UnitedHealthcare. She will report to Jim Woys, Health Net Inc.’s chief operating officer.

Attempts to get comment from Health Net weren’t immediately successful.

“Linda will work with the local management team to continue to provide excellent customer service for our members during this transition,” Woys said in a statement.

Paul Lambdin, president of Health Net of the Northeast, who helped to close the Northeast transaction, will continue with Health Net during the first quarter of next year to help with the transition of membership to UnitedHealthcare.

Recently, UnitedHealthcare, a unit of UnitedHealth Group (NYSE: UNH), completed its roughly $180 million acquisition of Health Net’s Northeast U.S. health plans in a deal that expands its presence in Connecticut, New Jersey and New York (BestWire, Dec. 14, 2009).

UnitedHealthcare was to pay Health Net (NYSE: HNT | Quote | Chart | News | PowerRating) $60 million for its Medicare and Medicaid business, and renewal rights for commercial membership (BestWire, July 21, 2009).

Bouchard joined Health Net in 2003 as vice president, assistant general counsel and assistant secretary. In this role, she oversaw the company?s corporate finance and merger-and-acquisition transactions as well as Health Net’s corporate governance program.

Health Net of Connecticut, Health Net of New York and Health Net of New Jersey each currently has a Best’s Financial Strength Rating of B+ (Good).
